This Terms and Conditions Agreement ("Agreement") is entered into by and between WiSeNet pvt.limited,Dwaraka nagar,Visakhapatnam,AP. ("WiSeNet") and to the ("Client") as of [January 1, 2054]. This Agreement sets forth the general terms and conditions of your use of the wisenet.in website and any of its products or services (collectively, "Website" or "Services").
The Company agrees to provide the Client with [specific services such as web development, digital marketing, etc.].
The services will be performed at WiSeNet office / Client’s office / Client’s site / Remotely WiSeNet office / Client’s office / Client’s site / Remotely beginning on [February 10, 2054].
Client agrees to pay the Company amount by the product’s cost as compensation for the services.
Payment will be due in increments: [50% upfront, 25% midway, 25% upon completion.].
Both parties agree to maintain confidentiality of each other's proprietary information.
This clause shall survive the termination of this Agreement
All intellectual properties created during the course of the services will be owned by WiSeNet/ the Client / both, as agreed upon.
Any use of the other party's existing intellectual property will be subject to a separate licensing agreement
Both parties warrant that they have the right to enter into this Agreement.
The Company's liability under this Agreement shall be limited to the total amount paid by the Client.
Neither party shall be liable for indirect, special, or consequential damages.
This Agreement may be terminated by either party with a [30-day] written notice.
Upon termination, the Client shall pay for all services rendered up to the termination date.
This Agreement shall be governed by the laws of the State of Andhra Pradesh,INDIA.
Any disputes arising under this Agreement shall be resolved in the state/the High Court Of Andhra Pradesh/AP/INDIA.
This document constitutes the entire agreement between the parties and supersedes any prior understanding or representation of any kind preceding the date of this Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.
By using the Website or its Services, the Client acknowledges that they have read these terms and conditions, understand them, and agree to be bound by them.
